Terms of Use

These Terms of Use (“Terms”) govern your access to and use of memorarem claw (the “Service”), the hosted AI agent platform available at memoraremclaw.com. By creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

memorarem claw lets you create and run AI agents, connect chat channels (such as Telegram and Discord), install or upload skills and plugins, schedule work, and consume model usage through a credit-based wallet and optional monthly subscription. Features may change as we improve the product.

2. Accounts

You must provide accurate account information and keep access to your email or sign-in method secure. You are responsible for activity under your account. Contact us promptly if you believe your account has been compromised.

3. Credentials, API keys, and secrets (important)

You are solely responsible for any credentials, secrets, tokens, passwords, API keys, bot tokens, OAuth credentials, access keys, certificates, webhooks, cookies, session material, or similar authentication data that you provide to agents, skills, plugins, channels, automations, or third-party integrations through the Service. memorarem / the Service provider is not responsible for loss, misuse, disclosure, leakage, or unauthorized use of those credentials, nor for actions taken by agents or third parties using them.

This includes, without limitation, credentials for:

LLM and AI provider APIs
Messaging or collaboration platforms (Telegram bots, Discord bots, Slack, etc.)
Cloud, payment, CRM, email, storage, code hosting, or other SaaS APIs
Databases, SSH, VPN, or infrastructure access
Any secret you paste into chats, skills, environment variables, configs, or agent memory

You should use least-privilege credentials, rotate secrets regularly, and revoke access you no longer need. Do not provide credentials you are not authorized to use.

4. Agent actions and third-party services

Agents may browse, call APIs, send messages, run commands (subject to platform controls), create files, or otherwise act according to your configuration and prompts. You are responsible for those actions and for any content, instructions, skills, or plugins you add.

Third-party products and networks have their own terms. We are not liable for outages, policy changes, bans, charges, or data handling by third parties your agents interact with.

5. Acceptable use

You agree not to use the Service to:

Violate law, or others’ rights (including privacy, IP, and platform rules)
Distribute malware, spam, scams, or unauthorized access tools
Attempt to break, overload, or reverse engineer the Service beyond lawful interoperability
Circumvent billing, usage limits, sandbox, or security controls
Impersonate others or use the Service for abusive surveillance or harassment

We may suspend or terminate accounts that violate these Terms.

6. Credits, subscriptions, and billing

Usage is measured in credits (formerly referred to as tokens in some product copy). Free allocation, monthly subscription credits, and purchased credit packs are described in the product UI. Fees are generally non-refundable except where required by law or expressly stated at checkout.

We do not collect, store, or process your payment card details or other sensitive payment financial data (such as full card numbers, CVV/CVC, or bank account numbers). Paid checkouts are completed on Stripe’s payment platform (and related Stripe-hosted pages). Stripe processes the payment; we only receive limited billing status from our billing system (for example whether a purchase or subscription succeeded, plan/period metadata, and credit grants)—never your card itself.

Canceling a monthly subscription stops auto-renewal; access continues until the end of the paid period unless otherwise stated. Unused credits typically remain in your wallet according to product rules and are not a cash balance.

7. Intellectual property

We and our licensors own the Service, branding, and underlying software. You retain rights to content you submit, subject to the license needed for us to host and operate the Service. Open-source and third-party components remain under their licenses.

8. Disclaimers

The Service is provided “as is” and “as available.” AI outputs can be inaccurate, incomplete, or inappropriate. You must review important results before relying on them. We do not warrant uninterrupted or error-free operation, or that agents will achieve any particular outcome.

9. Limitation of liability

To the maximum extent permitted by law, we and our affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, business interruption, or costs of substitute services.

Without limiting the foregoing, we are not liable for damages arising from: (a) credentials or secrets you supply; (b) agent or plugin behavior; (c) third-party APIs or messaging platforms; or (d) your failure to secure your account or secrets.

Our aggregate liability for claims relating to the Service will not exceed the amounts you paid us for the Service in the three (3) months before the claim, or USD $50 if you paid nothing, except where liability cannot be limited by law.

10. Indemnity

You will defend and indemnify us against claims arising from your use of the Service, your content, your agents’ actions, credentials you provide, or your violation of these Terms or applicable law.

11. Changes and termination

We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after changes means you accept the updated Terms. You may stop using the Service at any time. We may modify or discontinue features with reasonable notice when practicable.
